NOVEM STUDIO – GENERAL TERMS & CONDITIONS (E-COMMERCE)

These General Terms & Conditions (the “Terms”) apply to all offers, orders, and agreements concluded via the website of Novem Studio (the “Website”) between Novem Studio, operated by Antje Bleek (eenmanszaak), (“Novem”, “we”, “our”, “us”) and the customer (“Customer”, “you”, “your”).
By placing an order on the Website, you confirm that you have read, understood, and agree to these Terms.

2. Definitions
- Ready-to-Wear / Standard Products: Products that are not produced to the Customer’s specifications.
- Made-to-Order: Products produced on demand after purchase, with limited pre-defined options (e.g., length, monogram) but not individually patterned.
- Made-to-Measure (MTM): Products produced based on Customer-specific measurements and/or custom pattern adjustments.
- AI Measurement Tool: A digital body-measurement solution provided via the Website to generate measurements and/or sizing recommendations.
3. Applicability
3.1 These Terms apply to all offers, products, services, and agreements concluded via the Website.
3.2 Any deviations are only valid if expressly agreed in writing by Novem.
3.3 If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force.
4. Account & Website Use
4.1 Some Website features may require you to create an account. You must be legally capable of entering into a binding contract.
4.2 You are responsible for:
- keeping login credentials confidential;
- all activities through your account;
- ensuring your account information is accurate and up to date.
4.3 Novem is not liable for damages resulting from misuse of your account or failure to secure your credentials.
5. Offers, Orders & Contract Formation
5.1 All offers on the Website are non-binding and subject to availability.
5.2 An agreement is concluded once:
- you complete the checkout process;
- accept these Terms; and
- full payment has been received by Novem.
5.3 After receiving your order and payment, you will receive an order confirmation by e-mail. Novem may refuse, cancel, or place an order on hold at its discretion, for example in case of:
- fabric or material unavailability;
- technical or pricing errors;
- incomplete or incorrect Customer information;
- suspected fraud, misuse, or breach of these Terms.
5.4 If additional information is required (e.g., measurement completion, address clarification), Novem may contact you. If the requested information is not provided within a reasonable time, Novem may place the order on hold or cancel it and refund the paid amount.
5.5 No cancellation / changes after production start. Because many Novem products are produced on demand, orders cannot be changed or cancelled once production has started. You are responsible for ensuring all submitted selections and information (including any personalization such as monograms) are correct.
6. Made-to-Order / Made-to-Measure & Measurements
6.1 For Made-to-Order and Made-to-Measure products, the Customer is responsible for the accuracy of all choices and information provided.
6.2 Measurements may be collected through guided self-measurement, video consultation, and/or an AI Measurement Tool.
6.3 Fit outcomes depend on input and conditions. Measurement accuracy can be affected by lighting, camera angle, clothing worn during scanning, posture, device settings, and other user-controlled factors.
6.4 Novem is not responsible for fit issues resulting from:
- incorrect or incomplete information submitted by the Customer;
- incorrect use of measurement instructions or tools;
- changes in the Customer’s body after submitting measurements.
7. Product Information, Colours & Availability
7.1 Novem aims to display products and fabrics as accurately as possible. However, colours and textures may vary due to screen settings and digital rendering.
7.2 Minor variations inherent to tailoring, craftsmanship, and natural materials do not constitute defects.
7.3 Availability of fabrics and materials may be limited. If Novem cannot supply a fabric/material you selected, Novem may:
- contact you to choose an alternative; or
- cancel the order and refund the paid amount.
If the alternative has a different price, the difference will be refunded or charged accordingly.
8. Prices, VAT & Currency
8.1 Prices are stated in euros (€) and include VAT unless stated otherwise.
8.2 Shipping costs are shown during checkout and are paid by the Customer.
8.3 Your payment provider may charge currency conversion or transaction fees. These are your responsibility.
8.4 Novem may change prices at any time. Price changes do not affect confirmed orders.
9. Payment
9.1 Payment must be completed in full before an order is processed.
9.2 If payment is not received or is reversed (e.g., chargeback), Novem may suspend processing or cancel the order.
9.3 If the Customer fails to pay an agreed amount (where payment by invoice is offered), Novem may charge statutory interest and reasonable collection costs in accordance with Dutch law.
10. Shipping & Delivery (EU only)
10.1 Novem currently ships within the European Union (EU) only.
10.2 Delivery times are indicative and not binding. Many products are produced on demand; delivery timelines may vary due to production complexity, material availability, and logistics.
10.3 Delivery will be made to the address provided by the Customer. The Customer must ensure delivery details are correct and complete.
10.4 Risk of loss or damage transfers to the Customer upon delivery to the Customer or a third party designated by the Customer.
10.5 If delivery is delayed beyond 30 days after order confirmation, the Customer may cancel the order unless the delay is caused by:
- force majeure; or
- Customer-related issues (including delayed measurement completion or confirmations).
10.6 Novem is not liable for delays caused by carriers or incorrect delivery details provided by the Customer.
11. Right of Withdrawal & Return Policy
11.1 Ready-to-Wear / Standard Products
11.1.1 You have the right to withdraw from the purchase of Ready-to-Wear / Standard Products within 30 days of receipt, without stating reasons, in accordance with EU consumer law.
11.1.2 To exercise your right of withdrawal, you must notify Novem within the 30-day period by e-mail (info@novemstudio.com) and follow the return instructions provided.
11.1.3 Returned items must:
- be unworn, unused, and undamaged;
- be returned with all relevant accessories; and
- be returned in original packaging where reasonably possible.
11.1.4 You may handle and inspect the product only as you would in a shop (e.g., careful fitting indoors). Wearing outdoors or for other purposes is not permitted and may lead to depreciation for which you are liable.
11.1.5 Return shipping costs are borne by the Customer.
11.1.6 Refunds will be made within 14 days after receipt of the returned goods (or proof of return), using the same payment method unless agreed otherwise.
11.2 Made-to-Order and Made-to-Measure Goods — Exclusion of Statutory Withdrawal Right:
11.2.1 In accordance with Article 6:230p of the Dutch Civil Code, the statutory 14-day right of withdrawal for distance sales does not apply to goods that are custom-made or produced to the customer’s specifications and clearly personalised. You acknowledge that you have been informed before placing your order that, for these products, the statutory right of withdrawal does not apply.
11.2.2 Fit / workmanship resolution process. If you experience a fit or workmanship issue, the first mandatory step is to book a video consultation with Novem. During the consultation, the issue will be assessed and the appropriate solution will be determined.
11.2.3 Where reasonably possible, Novem will first offer an alteration solution, to be carried out locally or through a Novem-appointed partner, at Novem’s discretion.
11.2.4 Only in exceptional cases, where alteration is not feasible or does not reasonably resolve the issue, Novem may offer a full remake.
11.2.5 Alterations or remakes will be offered only where the issue is demonstrably the result of Novem’s workmanship, pattern development, or production, and not due to:
- incorrect or incomplete Customer information or measurements;
- incorrect use of the AI Measurement Tool or instructions;
- changes in the Customer’s body after ordering.
11.2.6 This process may not be used to order multiple products for selection or comparison purposes.
12. Defects, Warranty & Complaints
12.1 Any visible defects or issues must be reported in writing within 14 days of delivery via info@novemstudio.com.
12.2 If a valid defect is established, Novem may, at its discretion:
- repair the product;
- remake the product; or
- offer an appropriate refund or partial refund.
12.3 Normal wear and tear, misuse, improper care, and minor deviations inherent to craftsmanship are not considered defects.
13. AI Measurement Tool – User Terms & Data Handling Summary
13.1 Third-party technology. Novem may provide access to an AI Measurement Tool operated by a specialized third-party provider (“Measurement Provider”). The tool helps generate body measurements and/or size recommendations.
13.2 Use instructions. You must follow the tool instructions (e.g., posture, clothing, lighting). Inaccurate input may affect outputs.
13.3 No sensitive information. Do not upload content containing sensitive information or unrelated personal data. Use the tool in a private environment.
13.4 Data roles (GDPR). For measurement-related processing:
- Novem acts as Data Controller.
- The Measurement Provider acts as Data Processor and may use sub-processors to provide the service.
13.5 What may be processed. Depending on the tool configuration, processing may include:
- photos/images submitted for scanning;
- generated measurements/measurement outputs;
- transactional data (scan status, order reference);
- technical and security logs.
13.6 Purpose limitation. Measurement data is used to:
- generate your measurements and enable production of your garment;
- provide customer support (e.g., fit issue review);
- maintain security and service quality.
13.7 Anonymized / aggregated improvement data. The Measurement Provider may, depending on configuration, transform certain inputs into anonymized, aggregated information to improve service accuracy and reliability. Novem will not sell your identifiable scan data.
13.8 Privacy Policy governs details. Full details on categories of data, lawful bases, retention periods, transfers, sub-processors, and your GDPR rights are described in the Novem Studio Privacy Policy available on the Website. By using the AI Measurement Tool you acknowledge you have read that Privacy Policy.
14. Privacy
14.1 Novem processes personal data in accordance with applicable data protection laws (including the GDPR).
14.2 Details on how we collect, use, share, store, and protect personal data—including data used for digital measurement—are set out in the Novem Studio Privacy Policy on the Website.
15. Intellectual Property
15.1 All content on the Website (including designs, patterns, images, text, logos, brand assets and product descriptions) is owned by or licensed to Novem and protected by intellectual property laws.
15.2 You may not copy, reproduce, distribute, or use Website content without prior written consent.
16. Disclaimer
16.1 Novem strives to provide accurate product information, but cannot guarantee that all Website content is free from errors, omissions, or inaccuracies.
16.2 To the extent permitted by law, products and services are provided “as is” and “as available”, subject to any mandatory consumer rights.
17. Liability
17.1 To the maximum extent permitted by law, Novem is not liable for indirect or consequential damages, including loss of profit or business opportunities.
17.2 Novem’s total liability in relation to any claim is limited to the purchase price of the product concerned, except where mandatory law provides otherwise.
18. Force Majeure
18.1 Novem is not liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, governmental actions, war, terrorism, or major technical failures.
18.2 If force majeure continues for more than two months, either party may terminate the agreement without liability.
19. Complaints & Customer Service
19.1 For questions, complaints, or service requests, contact: info@novemstudio.com.
19.2 Complaints should be submitted in writing within 14 days after you discovered (or reasonably should have discovered) the issue.
19.3 Novem will aim to respond within a reasonable period and work towards a fair solution.
20. Governing Law & Jurisdiction
20.1 These Terms are governed by Dutch law.
20.2 Any disputes shall be submitted to the competent court in Amsterdam, The Netherlands, unless mandatory law provides otherwise.
21. Changes to These Terms
21.1 Novem may amend these Terms from time to time. The most current version will be published on the Website and applies from the date stated as “Last updated”.
21.2 Continued use of the Website and/or placing orders after changes have taken effect constitutes acceptance of the updated Terms.
